Job Summary:

The In-House Counsel provides legal support across Acentra Health, partnering closely with the Chief Legal Officer to support contracting, compliance, risk management, corporate governance, and other legal matters. This role serves as a key business partner to internal stakeholders, ensuring legal considerations are effectively integrated into business decisions and operations.

This position supports the organization by delivering practical legal guidance, managing risk, and assisting with a broad range of legal and regulatory matters. The In-House Counsel balances legal requirements with business objectives, contributing to efficient operations and compliance across the enterprise.

Job Responsibilities:

  • Provide legal support to contracting and procurement teams on complex contracting and purchasing matters.
  • Review, draft, and negotiate a variety of agreements, including client contracts, vendor agreements, technology licensing agreements, leases, nondisclosure agreements, business associate agreements, data use agreements, and teaming agreements.
  • Advise leadership on risk management and mitigation strategies, including support for commercial insurance matters.
  • Assist with corporate governance and entity management activities, including annual filings, state registrations, foreign qualifications, and maintenance of corporate records.
  • Perform legal and regulatory research relevant to the organization's business operations.
  • Prepare legal memoranda, summaries, and guidance for internal stakeholders.
  • Review and manage responses to information requests, including subpoenas, open records requests, and medical records requests.
  • Support legal department recordkeeping, matter tracking, and document management processes.
  • Assist with internal investigations, audits, and inquiries, including document collection, fact development, interviews, research, and preparation of summaries.
  • Support the Chief Legal Officer with legal projects, including litigation, dispute resolution, and acquisition and integration activities
  • This role does not have direct supervisory responsibilities.
  • May provide guidance and support to cross-functional teams on legal matters.
  • Read, understand, and adhere to all corporate policies including policies related to HIPAA and its Privacy and Security Rules.

Qualifications

Required Qualifications

  • Bachelor's degree from an accredited college or university.
  • Juris Doctor (JD) from an accredited law school.
  • License to practice law in the United States; eligible for licensure in Virginia and home state as applicable.
  • 2+ years of experience practicing law, preferably in an in-house environment.
  • Experience supporting healthcare, technology, or regulated industries preferred.
  • Ability to interpret and apply regulatory requirements, contract provisions, and internal policies.
  • Strong business acumen with the ability to balance legal risk with business objectives.
  • Strong analytical, problem-solving, and decision-making skills.

Preferred Qualifications

  • Experience working with healthcare regulations, government contracting practices, or data privacy requirements.
  • Strong research and writing skills.
  • Proficiency in Microsoft Office and legal research tools.
  • Strong organizational and time management skills with the ability to manage multiple priorities.
  • Ability to work independently while collaborating effectively with cross-functional teams.
  • High level of professionalism, discretion, and ability to manage confidential information.

Experience in Lieu of Degree

For non-clinical roles, or when not required by the contract specifically, the Company acknowledges that practical, hands-on experience can provide skills and competencies equivalent to formal education. As such, in cases where a Bachelor's degree may be required, the Company will accept a minimum of six (6) years of directly relevant professional experience in lieu of a degree. In instances where the candidate has an Associate's degree, the Company will accept a minimum of three (3) years of directly relevant professional experience in lieu of the Bachelor's degree.

USD $119,440.00 - USD $149,300.00 /Yr.
