The Office of Counsel at Duke University is looking for an experienced Associate General Counsel - Healthcare Transactions to join our collaborative, missiondriven legal team. In this role, you will work at the center of complex, highimpact healthcare transactions that directly support Duke University Health System (DUHS) and its affiliated organizations.

You will partner closely with senior leaders across the health system, providing practical, strategic legal guidance on acquisitions, joint ventures, clinical integrations, and innovative affiliation models. This is an opportunity to use your deep healthcare transactional expertise in a setting where your work advances patient care, education, research, and community health-every day.


Minimum Requirements

  • Juris Doctor (JD) degree.
  • Licensed to practice law in the State of North Carolina or ability to become licensed within 12 months of employment.
  • At least 12+ years of progressively responsible legal experience, with substantial experience in healthcare transactions and regulatory compliance.


  • Extensive experience leading major healthcare transactions, including deal strategy, negotiation, due diligence, risk analysis, and closing.
  • Experience advising senior executives and institutional leaders in a complex academic medical center or health system environment.
  • Working knowledge of federal and state healthcare regulatory frameworks, including Stark Law, AntiKickback Statute, Civil Monetary Penalties, HIPAA, and valuebased arrangements.



Preferred Qualifications

  • Experience supporting nonprofit healthcare systems and academic medical centers.
  • Demonstrated expertise with integrated delivery systems and innovative care models.
  • Experience mentoring or providing guidance to other attorneys or legal professionals.
  • Ability to balance legal risk with business objectives and provide clear, actionable advice.

  • Ability to work effectively in a teamoriented, highvolume, inhouse legal environment.
  • Strong written and verbal communication skills and a high level of professionalism.
  • This position is onsite, with some hybrid flexibility. The work is primarily performed onsite in Durham, North Carolina.

Key Responsibilities


  • Lead and manage complex healthcare transactions, including acquisitions, joint ventures, clinical integrations, and strategic partnerships.
  • Direct legal strategy for multiparty negotiations involving health system leadership, external partners, and outside counsel.
  • Draft, review, and negotiate highimpact agreements critical to DUHS's clinical and strategic objectives.
  • Advise executive leadership on corporate governance, entity formation, nonprofit compliance, and organizational structuring.
  • Serve as a trusted legal advisor on healthcare regulatory and transactional issues and mentor other attorneys as needed.
