Overview

Summary:
The Corporate Governance Associate will assist the Director, Equity & Corporate Governance with a variety of corporate governance, compliance, and regulatory functions, and contribute to cross-functional projects across legal, finance, investor relations, and HR.


Responsibilities

Essential Duties & Responsibilities:
* Assist in the preparation of SEC and other corporate filings, including periodic, quarterly, and annual reports (e.g., 8-K, 10-Q, 10-K, and proxy statements)
* Support with Nasdaq listing and reporting requirements.
* Support the compilation and distribution of management, board and board committee meeting materials.
* Review and update corporate governance policies and procedures.
* Maintain corporate registrations in the U.S. and international jurisdictions.
* Support corporate sustainability reporting (CSR) and related disclosures
* Support legal due diligence activities for proposed business development (BD) transactions.
* Liaise with other internal departments such as finance, human resources, and investor relations on corporate governance matters.
* Provide support on special projects to advance corporate strategic initiatives.

Supervisory Responsibilities:
This position will not have supervisory responsibilities.

Interaction:
The incumbent works closely with internal teams, including legal, finance, HR, investor relations, and compliance.


Qualifications

Education and Experience:
* Bachelor's degree required; legal or accounting background preferred.
* Advanced degree (e.g., JD, MBA) or relevant designations (e.g., ICSA, CPA) a plus
* 1-2 years of relevant experience, preferably at a public company or law firm with exposure to SEC filings
* Familiarity with equity matters and general understanding of financial statements and HR practices.
* Strong organizational skills, attention to detail, and ability to manage multiple priorities.
* Ability to handle sensitive and confidential information with discretion.
* Excellent communication and interpersonal skills

Knowledge, Skills, and Abilities:
* A self-starter who enjoys problem solving and cross-functional collaboration
* Ability to thrive in a fast-paced, dynamic environment.
* Demonstrated interest in corporate governance, compliance, or public company operations.
* Superior work ethic and communication skills across all types and levels of stakeholders
* Strong project and process management skills including the ability to manage multiple projects, set priorities and meet deadlines.
* Excellent oral and written English communications skills.
* Proficiency in Microsoft Office, including including Excel, PowerPoint, and Word
* Ability to travel approximately 5-10%

Pay Transparency

The base pay range for this role is $72,000 per year to $100,000 per year. The range is what we reasonably expect to pay for this role. The range considers a wide range of factors that are considered in making compensation decisions, including but not limited to: geographic markets, business or organizational needs, skill sets, experience, training, licensure, and certifications.
