Pavion and our family of companies are seeking a talented and motivated Assistant General Counsel to join our shared services team.

Primary Responsibilities:

Contract Negotiation & Management



  • Draft, review, and negotiate complex commercial agreements, including customer, vendor, licensing, SaaS, and strategic partnership contracts.
  • Collaborate with internal stakeholders to align contract terms with business goals and risk tolerance.


Legal Advisory



  • Provide strategic legal counsel on a broad range of issues, including contracts, regulatory compliance, data privacy, employment law, corporate governance, and risk management.
  • Identify legal risks and propose practical, business-aligned solutions to support organizational objectives.


Compliance & Risk Management



  • Design, implement, and improve internal compliance programs to meet legal and regulatory standards.
  • Advise on risk mitigation strategies and oversee development of internal controls and best practices.


Corporate Governance



  • Support governance activities including board and committee documentation, corporate filings, subsidiary management, and maintenance of corporate records.
  • Ensure corporate entities remain in good standing and compliant with relevant legal requirements.


Employment Law & Workplace Issues



  • Advise Human Resources on employee relations, terminations, internal investigations, wage and hour compliance, and labor law matters.
  • Ensure consistency in employment practices and alignment with current legal standards.

Cross-Functional Collaboration



  • Partner with teams across Sales, Finance, HR, IT, Procurement, and Operations to deliver legal support and promote consistency in legal and business practices.
  • Act as a trusted advisor to business units on day-to-day legal questions and strategic initiatives.


Policy Development & Training



  • Draft and maintain internal legal policies, procedures, and codes of conduct.
  • Develop and deliver training programs on legal compliance topics such as data protection, anti-corruption, and ethical business practices.


Basic Qualifications:



  • Juris Doctor (J.D.) from an accredited law school
  • Active license to practice law and in good standing in at least one U.S. jurisdiction
  • 5+ years of legal experience, preferably with a combination of law firm and in-house experience
  • Demonstrated experience in contract negotiation, corporate law, and compliance matters
  • Strong analytical and problem-solving skills with the ability to make sound legal judgments in a fast-paced environment
  • Grit and Grace in approach to work and all interactions with colleagues and customers
  • Exceptional interpersonal and communication skills with the ability to influence and collaborate with senior leadership
  • Detail-oriented with strong organizational and project management skills


Preferred Qualifications:



  • In-house counsel experience with ability to adjust legal advice for risk tolerance and prioritize workflow to achieve commercial goals
  • Familiarity with international business law or M&A is a plus
  • Experience managing outside counsel and legal budgets for projects and litigation
