Pavion and our family of companies are seeking a talented and motivated Legal Counsel to join our shared services team.

Primary Responsibilities:

Commercial Contracts & Transactions



  • Draft, review, and negotiate a broad range of commercial agreements, including non-disclosure agreements (NDAs), vendor contracts, service-level agreements, and other third-party arrangements.
  • Support contract lifecycle management by ensuring timely execution, proper documentation, and compliance with contractual obligations.
  • Collaborate with business teams, particularly Sales and Procurement, to align contract terms with operational and strategic goals while managing legal risk.


Cross-Functional Legal Support



  • Provide day-to-day legal guidance to internal departments including Sales, HR, Finance, Procurement, and Operations.
  • Translate legal concepts into clear, practical advice that supports business decision-making and compliance.
  • Act as a resource to internal stakeholders for resolving legal issues and escalating matters appropriately to senior counsel when needed.


Legal Research & Advisory



  • Conduct in-depth legal research on a variety of topics, including regulatory developments, contract interpretation, and corporate governance.
  • Prepare clear, concise, and actionable legal summaries and recommendations to support internal decision-making and policy development.
  • Monitor evolving legal and regulatory landscapes relevant to the company's operations and provide timely updates to stakeholders.


Compliance & Risk Management



  • Assist in the development, implementation, and maintenance of internal compliance programs, including training materials and policy updates.
  • Identify legal and regulatory risks and support the creation of internal controls and policies aimed at mitigating exposure.
  • Help ensure ongoing compliance with applicable laws, including data privacy, employment, and industry-specific regulations.


Corporate & Legal Operations



  • Support corporate governance activities, including preparing and filing required corporate documents and maintaining internal records.
  • Assist with various administrative legal tasks such as document management, template updates, and process optimization.
  • Contribute to the continuous improvement of legal operations by streamlining workflows and helping build scalable legal infrastructure.
  • Stay current on relevant laws, regulations, and industry trends that could impact the company.


Basic Qualifications:



  • Juris Doctor (J.D.) from an accredited law school
  • Active license to practice law and in good standing with at least one U.S. state bar
  • 0-3 years of relevant legal experience, ideally in a corporate in-house or law firm setting
  • Strong understanding of commercial law and general corporate law principles
  • Excellent analytical, writing, and communication skills
  • High level of professionalism, integrity, and attention to detail
  • Grit and Grace in approach to work and all interactions with colleagues and customers
  • Ability to manage multiple priorities in a deadline-driven environment


Preferred Qualifications:



  • Experience in professional business setting
  • Familiarity with employment law M&A, or another area of applicable law
  • In-house counsel or accounting/finance/business experience is a plus
